USER AGREEMENT

This User Agreement, ("Agreement") is made by and between Advisor and User. This Agreement sets forth the general terms and conditions of User’s access to and use of the eMoney Wealth Management System (the "Service"). By having accessed or otherwise used the Service, User agrees to all of the terms and conditions of this Agreement.

“Advisor” means Triad Advisors, LLC (“Triad”); and, Triad Advisors, LLC. (“Triad”) or Osaic Advisory Services, LLC (“OAS”) (as may be applicable); and is deemed to include the independent Registered Representative(s) or Investment Advisor Representative(s) affiliated with Triad or OAS who provide services to the User.

“User” is a person who has: (i) accepted an invitation from Advisor providing authorization to access the Service; or, (ii) otherwise accesses and utilizes the Service in conjunction with an account maintained with Advisor or in connection with the receipt of other services (e.g. financial planning) provided by Advisor; or (iii) by accessing the Service as an Alliance Partner, or (iv) as an employee, agent, or representative of any of (i)(ii) or (iii). “User” may include, but is not limited to, clients and prospective clients of Advisor, and any other person who has authorized user identification codes and passwords to access the Service.

Client Acknowledgement
To the extent that User is a client or customer of Advisor (“Client”), Client acknowledges and agrees that Client may have entered into a separate agreement with Advisor in regard to an account or other services; and, to the extent such other agreement exists, Client’s use of the Service is also subject to the terms and conditions of such other agreement. Solely in regard to Client’s use of the Service, the terms and conditions of this Agreement shall be controlling. In the event of any other conflict or inconsistency between the terms and conditions of this Agreement and any terms or conditions set forth in such other agreement between Client and Advisor, the terms and conditions set forth in such other Agreement shall prevail.

User Acknowledgement
User acknowledges that, as the Service changes, User may be required to agree to additional terms and conditions as a condition to continued use of the Service. To the extent, eMoney changes the terms and conditions applicable to User’s (as defined herein) use of the Service, and such changes impact User’s access and or use of the Service, User agrees to hold Advisor harmless from any liability resulting from such changes. User acknowledges that User has entered into a Terms of Service or Terms and Conditions agreement (collectively, “TOC”), with eMoney through a “click-through” agreement. User acknowledges that if any of the terms and conditions contained in this User Agreement are inconsistent with or conflict with the TOC, as between User and eMoney the terms of the TOC are controlling; and, as between the User and Advisor the terms of this User Agreement control.

Priviledge to Access and Use the Service
During the term of and subject to the terms and conditions of this Agreement, User may access and use those aspects of the Service intended for his or her access and use (the "Site"). User shall not (1) access or use any aspect of the Service other than the Site as may be directed by Advisor or eMoney; (2) access or use the Service for any purposes other than personal use; or (3) access or use the Service in any unlawful manner or in violation of this Agreement.

User understands, acknowledges and agrees that:

  • User’s access to and use of the Site is at all times subject to authorization from the Advisor. The Advisor may at any time, in the Advisor’s sole and absolute discretion, without notice, for any reason or no reason, terminate User’s authorization to use the Site, and eMoney shall comply with such direction from Advisor. Further, eMoney may at any time, in its sole and absolute discretion, without notice, for any reason or no reason, terminate User’s access to the Site.

  • The Site is provided solely as a convenience to User.

  • The Site is not a replacement for account statements provided by custodians of User’s financial accounts. It is important to compare the information on the Site with the statements User receives from the custodian(s) for the User’s account(s).

  • User understands that eMoney has retained the right to establish practices and/or limits in connection with the Service, including but not limited to establishing maximum disk space allotted to User's information and files stored on eMoney's servers.

  • Advisor does not guarantee or warrant that any part of the Service is free of viruses or other harmful code. User must take appropriate precautions, such as use of an anti-virus software package, to protect his or her computer hardware and software.

  • User is responsible for obtaining his or her own hardware, software and services (such as computers, web browsers and Internet access service) necessary to access and use the Service and for payment of all fees involved in obtaining such hardware, software and services.

  • User shall be solely responsible for safeguarding his or her login credentials such as User Name and Password. User must immediately notify the Advisor if his or her login credentials are compromised. Advisor has no liability for any loss, claim, or other damages that result from unreported, unauthorized use of User's login credentials.

Account Aggregation Service
The Service provides an account aggregation function that can allow authorized Users to view, in a single location on the Site, consolidated financial information from accounts that User maintains at various financial institutions as identified by User from time to time ("Outside Accounts").

To use the account aggregate function, Consumer understands and agrees that:

  • The aggregation function is not available for all types of accounts and/or for all financial institutions. Advisor has no obligation to make such function available to User. eMoney may make available to authorized Users the ability to aggregate certain types of accounts at such financial institutions as may then be available on the Service, in eMoney's sole discretion and/or ability.

  • Financial institutions change their websites from time to time. As a result, an Outside Account that was available for viewing via the Account Aggregation Service may cease to be available for viewing. Neither Advisor nor eMoney have control over User’s third party financial accounts and have no obligation to restore the availability of the Outside Account on the Site.

  • User is responsible for identifying the Outside Accounts that User desires to aggregate and configuring the Site accordingly.

  • For each available Outside Account that User has aggregated on the Site, User has authorized eMoney to receive Outside Account information from User’s financial institution(s) and/or provided eMoney or its third-party aggregation vendor with the necessary login credentials (including, without limitation, username and password) to access such Outside Account. User has provided this information through such function and process as eMoney may determine from time to time.

  • User has authorized eMoney to access the website(s) maintained by each third-party financial institution for each Outside Account designated for aggregation in order to retrieve and store the account information contained within the Outside Account.

  • By submitting information, data, passwords, usernames, PINs, other log-in information and other content to eMoney through the Service, User has granted eMoney express authority, with respect to each Outside Account designated for aggregation, to (1) use User’s login credentials for such Outside Account in order to access the account information within such Outside Account; (2) retrieve, access, use, store, convert, format, compile, display and/or distribute (“Process”) the Processed account information within the Outside Account; and/or (3) store the Outside Account information so retrieved and the Processed Outside Account information in accordance with this Agreement and eMoney’s Privacy Policy and display such information to User and the Advisor via the Service and/or Site.

  • By using the Service, User hereby expressly consents to each financial institution holding the Outside Account to make User’s data contained in the Outside Account available to eMoney and Advisor for use in Service.

  • For each Outside Account designated for aggregation, User represents and warrants to Advisor that (1) User is the legal owner of the account; (2) User has the right to disclose his or her login credentials for such Outside Account; and (3) User has the right to grant the foregoing authorizations.

  • USER ACKNOWLEDGES AND AGREES THAT WHEN EMONEY IS ACCESSING AND RETRIEVING OUTSIDE ACCOUNT INFORMATION FROM THIRD PARTY SITES, EMONEY IS ACTING AS USER’S AGENT, AND NOT AS THE AGENT OF OR ON BEHALF OF ADVISOR OR OF THE THIRD PARTY THAT OPERATES THE THIRD-PARTY SITE.

  • Advisor is not responsible for any acts, errors, or omissions by the financial institutions at which User maintains an Outside Account, or for the accuracy of the information providedby such institutions to eMoney for User’s or Advisor’s use.

  • Advisor, subject to User’s consent, may group User with other User(s). Once Users are grouped together, all Users in the grouping, Advisor and, subject to Users’ consent, any Alliance Partner (as defined herein), will have access to view all information available to User through the Service. This viewable information may include, but is not limited to User’s name, address, account numbers, all accounts viewable in the Service, including account information for accounts provided by Advisor or by User through the Account Aggregation Service and all files in the User’s Vault. Advisor may also use such grouped information of Users to develop and provide additional products and services to users and other customers or clients, including without limitation, learning programs, algorithms, artificial and business intelligence and similar technologies. By using the Service, User consents to such use and features.

  • The Site is not a replacement for account statements provided by custodians of User’s financial accounts. User should not rely on the Service and/or the Site as a replacement or substitute for such statements.

  • eMoney-acting upon instruction from Advisor or otherwise may terminate the Account Aggregation Service or User’s access thereto at any time without notice to User.

User specifically acknowledges an understanding of the Account Aggregation Service, the risks and limitations associated with the Account Aggregation Service, and by electing to use the Account Aggregation Service agrees to indemnify and hold harmless Advisor for any losses that may result from User’s use.

The Vault
The Service includes a service known as the Vault which allows User to store and retrieve electronic files on the Site. To add a file to the Vault, (a) User may either upload the file to a private Vault folder to which the User may have access, (b) a User may upload the files to a shared folder to which the Advisor has granted User access or (c) a User may provide a copy of the file to the Advisor if that document is to be added to a folder contained in the Vault other than the User’s private or shared folders to which the User may have access. Consumer understands and agrees that User will have "view only" access to materials in the Vault that the Advisor has added and that any addition, deletion, modification, or organization of User’s such files in the Vault must be processed through Advisor.

User understands and agrees that:

  • For each file stored in the Vault, User represents and warrants to Advisor that User lawfully possesses such file and has the authority to upload or have the file uploaded, stored and made retrievable to and from the Vault.

  • User is solely responsible for the use and content of any file that User uploads into or accesses from the Vault, including files provided by third parties (including, without limitation, Advisor, Advisor’s service providers and custodian of your account(s)) and each such third party does not assume any liability with respect to the content of such files when viewed in the Vault or for any other content provided on this site. User agrees not to use the Vault to store any file or information that is unlawful, offensive, indecent, or otherwise actionable by any third party.

  • Advisor specifically disclaims any ownership rights to or liability for the files (or the contents thereof) uploaded to the Vault by User.

  • Advisor is not responsible for any use or dissemination of User's files by any third parties to whom User grants authorization to view his or her files.

  • The Vault is provided to User as a convenience and its availability to User may be terminated by Advisor or may be discontinued by eMoney at any time.

  • User should not rely on the Vault as User’s storage system for files; User should always retain a copy of User files outside of the Vault. User is responsible for retaining originals or copies of the files he or she chooses to store in the Vault as neither Advisor nor eMoney guarantees the contents of the Vault will be available to the User or that the Vault will always be offered as a service.

User specifically acknowledges an understanding of the Vault service, the risks and limitations associated with the Vault service, and by electing to use the Vault service agrees to indemnify and hold harmless Advisor for any losses that may result from User’s use.

Alliance Partners
In addition to the access and user roles provided to Advisor and User, the Service also provides a user role that allows other of User’s service providers, such as User's banker, accountant or attorney (known as "Alliance Partners"), to access and view all of the information stored by the Service in relation to User. For example, the Alliance Partner role allows User to direct the Advisor to permit User's family lawyer access to User's information in the Service to assist with estate planning and other needs.

User understands and agrees that:

  • User must request Alliance Partner through the Advisor. User may in its sole and absolute discretion grant or deny any request of User to add any Alliance Partner.

  • Unless and until the Advisor revokes the access privileges of an Alliance Partner and communicated such revocation to eMoney, User hereby consents to allowing such Alliance Partner to access and view any and all of User's information stored in the Service. If User wants to revoke the access privileges of any Alliance Partner, User must notify Advisor in writing. Advisor shall have a reasonable time, which in no event shall be less than ten (10) business days, in which to notify eMoney and which may be longer than ten (10) business days. eMoney shall have a reasonable time, which in no event shall be less than ten (10) business days to act thereon.

  • Advisor shall not be liable for any act or omission on the part of the eMoney in relation to Alliance Partners or any act or omission of the Alliance Partner.

  • The Alliance Partner function is provided to User as a convenience and may be terminated by eMoney and/or Advisor at any time.

User specifically acknowledges an understanding of the Alliance Partners service, the risks and limitations associated with the Alliance Partners service, and by electing to use the Alliance Partners service agrees to indemnify and hold harmless Advisor for any losses that may result from User’s use.

Other Terms and Conditions
User may terminate use of the Service at any time by contacting the Advisor. Once User has terminated use of the Service, User will have no further access to the Service and all files retained in the eMoney file storage service will be deleted.

eMoney stores information regarding actions taken by User when User accesses the Site. This information may be provided to Advisor and/or Alliance Partners and to other eMoney employees and contractors who provide services or products to User. User agrees that the Service is non-transferable and any rights to the Service and access to the Site and the information or contents within the Site, terminate upon User’s death. Upon receipt of a copy of User’s death certificate, User’s access to the Site may be terminated and all contents therein permanently deleted.

Advisor and eMoney may modify or discontinue offering the Service at any time, with or without notice, for any reason or no reason.

The Service may provide links to websites and include embedded videos that are not provided by Advisor, and that are not operated or hosted by eMoney. eMoney provides these links and/or videos for User's convenience and may be removed at any time. Neither Advisor nor eMoney investigate the quality, accuracy or completeness of any content on third party websites. User acknowledges and agrees that Advisor and eMoney are not responsible or liable for any content, advertising, products or other materials on or available from third party websites or embedded videos. User is responsible for familiarizing his or herself with the content of such third-party websites and/or embedded videos, including the applicable privacy policies related thereto. For more information on either eMoney’s or Advisor’s privacy policies, please see their respective privacy statements.

THE SERVICE IS FURNISHED "AS IS" AND WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY OF ALL OR ANY PART OF THE SERVICE, AND FREEDOM FROM ERRORS, VIRUSES, BUGS OR OTHER HARMFUL COMPONENTS.

ADVISOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF THE SAME.

IF THE FOREGOING DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY IS HELD TO BE UNENFORCEABLE, USER AGREES THAT, SPECIFICALLY AS IT RELATES TO THE SERVICE PROVIDED FOR UNDER THIS AGREEMENT, ADVISOR’S LIABILITY TO USER, WHETHER IN TORT, CONTRACT OR OTHERWISE, FOR ALL CAUSES SHALL NOT EXCEED IN THE AGGREGATE $500.

If any clause or provision set forth in this Agreement is determined to be illegal, invalid or unenforceable under present or future law, then the clause or provision so determined to be illegal, invalid or unenforceable shall be severable without affecting the enforceability of all remaining clauses or provisions.

This Agreement and access to and use of the Service shall be governed by the laws of the state of Georgia. The state courts with jurisdiction over Gwinnett County, Georgia shall have exclusive jurisdiction over any and all claims, disputes or other controversies relating to or arising from this Agreement or access to or use of the Service. Each party hereby expressly consents to the exercise of jurisdiction over the Agreement by such courts. To the fullest extent permitted by applicable law, each party to this Agreement waives its or his right to a jury trial with respect to any action brought under or in connection with this Agreement. The headings used in these terms of use are for convenience only and such headings are not to be used in determining the meaning or interpretation of these terms of use. This Agreement will continue to apply until terminated by either the User or Advisor in accordance with this Agreement and/or the prevailing agreement in place between the Advisor and eMoney. This Agreement may not be modified or amended without the prior written consent of Advisor. Advisor may modify this Agreement from time to time. Any and all changes to this Agreement may be provided to User by updating the last revised version on the eMoney site. User is deemed to accept and agree to be bound by any changes to the Agreement when using the Service after those changes are posted.



CONSOLIDATED REPORT DISCLOSURE

REQUIRED DISCLOSURE: This report may contain manually entered assets. The accuracy and authenticity of manually entered assets is reliant solely on the author of the information and not controlled by or attested to by Triad Advisors nor its affiliates or business partners. Any information represented as manually entered assets should be regarded as informational only and not interpreted as official or legal financial positions. The combined total represents the combination of various sources and types of accounts. This combined total is subject to any error of any of the types of data sources that may be contributing to it, including manual entry errors and data reliability or completeness errors. The cost basis information is subject to the validity of the supplier of cost basis information and should not be used for tax purposes. Consolidated reporting provided via third party data aggregator and portfolio performance engine, under contractual agreement with the broker dealer. This consolidated report is based on custodian(s) and/or Financial Representative provided account detail and is reflected here for informational purposes, as a customer courtesy. Assets “held away” are those accounts which have been solicited and/or are held outside of the broker dealer. In most instances, assets “held away” may be non-verifiable by the Broker Dealer. Assets “held away” from the broker dealer may not be covered by SIPC. Tools such as the Monte Carlo simulation will yield different results depending on the variables inputted, and the assumptions underlying the calculation. For those reports that perform a Monte Carlo analysis, the term 'Monte Carlo' will be included in the report title. The assumptions with respect to the simulation include the assumed rates of return and standard deviations of the portfolio model associated with each asset. The assumed rates of return are based on the historical rates of returns and standard deviations, for certain periods of time, for the benchmark indexes comprising the asset classes in the model portfolio. Since the market data used to generate these rates of return change over time your results will vary with each use over time.

Monte Carlo Analysis is a mathematical process used to implement complex statistical methods that chart the probability of certain financial outcomes at certain times in the future. This charting is accomplished by generating hundreds of possible economic scenarios that could affect the performance of your investments.

The Monte Carlo simulation uses at most 1000 scenarios to determine the probability of outcomes resulting from the asset allocation choices and underlying assumptions regarding rates of return and volatility of certain asset classes. Some of these scenarios will assume very favorable financial market returns, consistent with some of the best periods in investing history for investors. Some scenarios will conform to the worst periods in investing history. Most scenarios will fall somewhere in between.

The outcomes presented using the Monte Carlo simulation represent only a few of the many possible outcomes. Since past performance and market conditions may not be repeated in the future, your investment goals may not be fulfilled by following advice that is based on the projections.
